Your access to the website of Patron Capital Advisers LLP (“Patron Capital”) hosted at www.patroncapital.com and the investor portal hosted at https://dynamoeu.netagesolutions.com/Portal/Login/PatronCapital/VC-Investors/ (together, the “Site”) is governed by the Website Terms & Conditions of Use as set out in this document (the “Terms”). Please read the Terms carefully, and if you access, browse or otherwise use the Site, you will be deemed to have accepted them. If you do not agree to the Terms, please leave the Site immediately.
You should pay particular attention to the section called "Limitations of Liability", as this excludes or limits our legal liability in connection with your use of the Site.
If you breach any of these Terms, we have the right to terminate your access to the Site immediately without notice.
Patron Capital may make changes, modifications or additions to the Terms or the Site at any time without prior notice, and will post any amended Terms to the Site. The revised terms and conditions will become effective at the time of posting. We suggest that you check these Terms periodically for changes. If you continue to use the Site, you will be deemed to have accepted any such amended Terms. If any change to the Terms is not acceptable to you, your sole remedy is to cease accessing, browsing and otherwise using the Site.
If any part of the Terms is deemed invalid, void or for any reason unenforceable, that part shall be deemed severable and shall not affect the validity and enforceability of any of the remainder of the Terms.

Patron Capital authorises you to view and download the information, materials and Site Content from the Site. You may not modify the materials on the Site in any way or reproduce or publicly display, publish, perform, distribute, transmit or otherwise use them for any public or commercial purpose. Any use of these materials on any other website or networked computer environment for any purpose is prohibited.
You must not use the Site for any unlawful or fraudulent purposes, misuse the Site or do anything which causes or contributes to the disruption of the Site or other users’ enjoyment of it, including, without limitation, by introducing viruses, Trojans, worms, logic bombs or other material which is malicious or technologically harmful. In particular, you must not access without authority, interfere with, damage or disrupt the Site or any part of it; any equipment or network on which the Site is stored; any software used in connection with the provision of the Site; or any equipment, software or website owned or used by a third party. Without prejudice to our other rights or remedies, we reserve the right to take legal proceedings against you for reimbursement of all costs or losses (on an indemnity basis) resulting from your breach of this section of the Terms, and to disclose such information to law enforcement agencies as we reasonably believe is necessary.
We take reasonable steps to make the Site available at all times, however the Site is provided “as is” and “as available”. We reserve the right to modify or discontinue, temporarily or permanently, the Site (or any part thereof), or to terminate or suspend your access thereto for any or no reason, with or without notice. You agree that we will not be liable to you or to any third party for any modification, suspension or discontinuance of, or termination or suspension of your access to, the Site, or any part thereof.
The Site is a “financial promotion” for the purposes of Section 21 of the Financial Services and Markets Act 2000 (“FSMA 2000”). The Site is issued by Patron Capital, regulated by the FCA, and directed in the UK only at persons to whom financial promotions can be made under the FSMA 2000 (Financial Promotion) Order 2005 such as investment professionals and high net worth entities as defined in articles 19 and 49 of the Order or to persons who can be classified as Professional Clients under FCA rules.
If you are a person located in any jurisdiction where there are restrictions on the type of person who may access information which relates to investments then, in accessing the Site, you will be representing and warranting to Patron Capital that you are not causing Patron Capital to breach any of those restrictions by you accessing the Site. The Site contains material about the historic performance of investments in which Patron Capital has acted as investment adviser.

To the extent Patron Capital is allowed under applicable law to limit its liability to you, then Patron Capital’s liability to you arising under or in connection with the Site, the Site Content (as defined below) or any other information appearing on the Site, whether in contract, tort (including negligence), breach of statutory duty or otherwise, is limited to £1.

While the Site may contain links to third party websites and resources, these links are provided for your information only, and neither Patron Capital nor any of its affiliates shall be responsible or liable for the content of any linked websites. Patron Capital provides these links as a convenience and does not endorse the companies or contents of any linked websites. Patron Capital has not reviewed, endorsed, approved or involved itself with respect to the preparation of the information contained in these websites and are not responsible for their availability, accuracy or content or for any loss or damage that may arise out of your use of them. Nothing in these Terms or on the Site may be interpreted so as to grant to you, directly or indirectly, expressly, by implication, estoppel or otherwise any right or licence to any trade mark or service mark reproduced on the Site, or the use of any of the Site Content, without the prior written consent of Patron Capital. Any commercial use or exploitation of the Site or the Site Content is strictly prohibited. All goodwill generated from the use of the trade marks and service marks appearing on the Site will inure to the exclusive benefit of Patron Capital and our licensors.

The technology and software underlying the Site or distributed in connection therewith are the property of Patron Capital, its affiliates and its and their licensors. Any rights not expressly granted herein are reserved by Patron Capital and its licensors. All Site Content is provided for your personal, non-commercial use only.
If you breach any of these Terms, your authorisation to use the Site automatically terminates and you must immediately destroy any downloaded or printed materials obtained from the Site.
Your personal information and right to privacy is important to Patron Capital. Please review Patron Capital’s privacy and cookie policy, which also governs your visit to the Site, in order to understand Patron Capital’s information-handling practices.
We are unable to guarantee the confidentiality or security of any data passing via the Site. Accordingly, your use of the Site is at your own risk.
These Terms contain the entire agreement between us and you with respect to their subject matter. A person who is not a party to these Terms has no rights under them, whether under the Contracts (Rights of Third Parties) Act 1999, or otherwise. Failure of Patron Capital to act on or enforce any provision of the Terms shall not be construed as a waiver of that provision or any other provision in the Terms. No waiver shall be effective against Patron Capital unless made in writing, and no such waiver shall be construed as a waiver in any other or subsequent instance.
These Terms, any contract arising between you and Patron Capital subject to these Terms, and any dispute or claim arising out of these Terms (including any dispute regarding the existence, validity or formation of a contract under these Terms) shall be governed by the laws of England and shall be subject to the exclusive jurisdiction of the English Courts.
